智通财经APP讯，QPL INT'L(00243)发布公告，于2025年7月8日，本公司与配售代理订立配售协议，本公司已有条件同意透过配售代理按尽力基准以配售价每股配售股份0.16港元，向不少于六名承配人(为独立于本公司及其关连人士的第三方的个人、公司、机构或其他投资者)配售最多5774.4万股配售股份。配售股份将根据一般授权配发及发行。
假设配售股份获悉数配售，配售事项项下最多5774.4万股配售股份数目相当于本公司于本公布日期的已发行股本约20.00%及经发行配售股份扩大后之已发行股本约16.67%。
董事会认为，配售事项为本公司提供良机，为本集团的业务营运筹集额外资金，巩固本集团的财务状况以及扩大本公司的股东基础，从而可提高股份流动性。配售协议的条款(包括配售价及配售佣金)乃本公司与配售代理经公平磋商后厘定。董事(包括独立非执行董事)认为配售协议的条款(包括配售价及配售佣金)乃按一般商业条款订立，属公平合理并符合本公司及股东的整体利益。
假设所有配售股份均获悉数配售，配售事项的估计所得款项总额及所得款项净额(经扣除配售佣金及其他相关开支及专业费用后)将分别为约920万港元及约890万港元。本公司拟将有关所得款项净额用于升级及翻新本集团现有物业、厂房及设备以及作为本集团的一般营运资金。
