智通财经APP讯，大快活集团(00052)公布，于本公告日，根据购股权计划的条款，于375万份现有购股权中，22万份购股权已告失效，概无购股权已行使，且余下353万份购股权为可予行使。
由于未行使购股权的行使价持续与股份现行市价比较相对为高，降低了未行使购股权的购股权持有人行使未行使购股权的意欲，未行使购股权据此不能再达到激励现行持有人的目的。
于2025年7月 11日，公司董事会议决注销333万份未行使购股权，惟须待现行持有人同意。于333万份未行使购股权中，其中104万份购股权乃授予罗辉承先生–公司董事会副主席兼执行董事，以及公司主要股东、董事会主席兼非执行董事罗开扬先生的联系人。
于2025年 7月11日，公司已邀约授出550万份新购股权予部分现行持有人及集团其他雇员以认购550万股股份，该等购股权部分用作替代已注销的未行使购股权，惟须待彼等各自按购股权计划接纳，以及公司独立股东批准(如适用)，方可作实。新购股权的行使价为每股股份港币5.470元。
于550万份已邀约的新购股权中，214万份购股权已授予公司执行董事，余下336万份新购股权已授予集团其他雇员。
