智通财经APP讯，周大福创建(00659)发布公告，公司认为，发行可换股债券为使得公司恢复至上市规则项下规定的公众持股量的适当举措，且建议进行同步购回现有可换股债券及发行债券。
于2025年7月10日，独家交易经办人与公司订立交易经办人协议，据此，独家交易经办人已就建议同步购回获委任以(其中包括)协助公司向现有可换股债券的持有人收集可能愿意出售其现有可换股债券予公司的意向。
公司正计划向机构投资者发行可换股债券。公司已委任联席账簿管理人以协调建议发行债券的定价。于债券的条款(包括规模、发行价及其他条款)落实后，联席账簿管理人将与公司就建议发行债券订立认购协议。
公司将不会向香港零售公众配售任何债券，预期债券的各承配人(及彼等各自的最终实益拥有人)将为公司的独立第三方。债券并未亦将不会根据证券法登记。债券将仅遵照证券法S规例在美国境外提呈发售。
公司认为，建议发行债券为使得公司恢复至上市规则项下规定的公众持股量的适当举措。此外，建议发行债券可带来其他裨益：(i)以较低的融资成本为公司提供额外资金以用作同步购回的资金，余额则用作一般企业用途;(ii)不会对现有股东的股权产生即时摊薄影响;及(iii)倘若债券转换为新股份，将增强公司的资本基础，并有利于公司的长期发展。
