慧与科技宣布了一系列重大业务变革举措，包括组建新的战略委员会并任命新董事，以响应与激进投资者Elliott Investment Management达成的价值提升合作计划。
根据声明，现任科磊公司董事长、资深科技界高管Robert Calderoni将加入慧与科技董事会，并出任新成立的战略委员会主席。
Elliott合伙人Jason Genrich对此表示：“我们与慧与科技董事会的建设性对话卓有成效，看到了巨大的价值增长空间。相信Robert的加入及其对战略委员会的领导，将帮助慧与科技把握关键的战略机遇，为股东创造显著价值。”
据4月的报道称，Elliott已累计持有慧与科技超过15亿美元的股份。汇编数据显示，这使得该基金成为慧与科技前五大股东之一。
根据协议条款，慧与科技与Elliott达成的合作协议包含信息共享机制、持续对话框架以及静止期、投票权等多项条款。特别值得注意的是，在协议静止期届满前，Elliott还享有随时委派董事会代表的特别权利。
