GDEV Inc. $(GDEV)$, an international game development company, announced a change in its registrant's certifying accountant. Effective June 24, 2025, KPMG Somekh Chaikin, an Israeli partnership and member firm of KPMG International, has been appointed as the Company's independent registered public accounting firm, succeeding KPMG Certified Auditors S.A., Athens, Greece. This decision, approved by the audit committee of the board, followed careful consideration and evaluation. The transition comes amidst identified material weaknesses in GDEV's internal controls over financial reporting. Specifically, the company reported issues in engaging individuals with adequate expertise to review complex transactions in 2024, and in evaluating the fair value of share warrants in 2023. These weaknesses were highlighted in the Company's Form 20-F submissions for the respective years. Despite these challenges, there were no unresolved disagreements or reportable events between GDEV and KPMG Greece prior to this transition.
