智通财经APP讯，山高新能源(01250)及山高控股(00412)联合公布，山高环能集团股份有限公司(山高环能，一间联营公司由山高新能源集团间接持有23.94%权益，其A股股份于深圳证券交易所上市，股份代码：000803)于2025年7月16日召开第十一届董事会第二十一次会议通过有关(其中包括)(i)建议向一名特定对象山东高速产业投资有限公司(高速产投)发行A股股份;及(ii)山高环能与高速产投(为山东高速集团有限公司(山东高速集团)的全资附属公司，山东高速集团为山高控股之控股股东及山高新能源之间接控股股东)订立认购协议的议案。
根据发行A股的建议，在取得深圳证券交易所批准及中国证券监督管理委员会注册同意后的规定有效期内，经山高环能股东大会批准，山高环能将向一名特定对象高速产投发行不多于1.4亿股普通股(A股)，该等股份将于深圳证券交易所上市及买卖，每股面值人民币1.00元(占山高环能在发行A股的建议前的总股本不超过30%)。高速产投于发行A股的建议中认购的股份在发行结束之日起应遵守36个月限售期。
发行A股的建议所得款项总额将不超过人民币7.18亿元，经扣除相关发行费用后，预期全部用于补充山高环能的流动资金及偿还其银行借款。
