智通财经APP讯，中国生物科技服务(08037)发布公告，有关该投资的正式协议于2025年7月11日订立。该投资将通过以下方式进行： (1) 根据可转换借款协议，华大松禾向鹏博(海南)提供一笔人民币3000万元的借款; (2) 根据认股权证协议，Dynamic Healthcare向华大松禾授予认股权证，可认购 Dynamic Healthcare的股份，行使价为借款的等值美元;及 (3) 华大松禾就认购事项完成企业境外投资备案后，鹏博(海南)将向华大松禾偿还借款，华大松禾以行使认股权证的方式，认购Dynamic Healthcare的股份。在实际上，借款将转换为Dynamic Healthcare的股份。
假设A轮融资不涉及对Dynamic Healthcare的其他股份认购，华大松禾将持有经发行认股权证股份及将向嘉博众治(海南)(鹏博(海南)股份奖励计划的平台)发行的股份扩大后的Dynamic Healthcare已发行股本最多6.25%。
