The transaction is set to provide approximately $280 million in gross proceeds, which will be used to accelerate the commercial deployment of Terrestrial Energy's Integral Molten Salt Reactor (IMSR) technology and cover transaction expenses. The companies anticipate completing the business combination by the third or fourth quarter of 2025, after which the combined company will be listed on Nasdaq under the ticker symbol "IMSR." Completion of the transaction remains subject to various conditions, including stockholder approval and the effectiveness of the registration statement.
