智通财经APP讯，昆仑能源(00135)发布公告，于2025年7月23日，公司全资附属公司中石油昆仑与中国石油订立买卖协议，据此，中石油昆仑同意出售及中国石油同意购买中石油昆仑于天津压缩公司持有的51%股权，代价为人民币1270.16万元。出售事项完成后，天津压缩公司将不再为公司的附属公司。
截至本公告日期，天津压缩公司由公司全资附属公司中石油昆仑持有100%股权。天津压缩公司主要从事CNG及LNG加气站营运业务。
董事会认为出售事项将使集团能够更有效地分配及利用其资源，专注于城市燃气的分销及销售等主要业务，并以提升集团的市场份额及业务效率为目标。此外，由于集团于出售事项完成后仍保留天津压缩公司的少数股权，因此出售事项将使集团同时变现天津压缩公司的股权价值及继续参与该实体的液化天然气加气业务。因此，董事会认为，出售事项将对公司及股东整体有利。
