智通财经APP讯，中国交通建设(01800)发布公告，2025年7月18日，公司以书面形式发出本次董事会会议通知。2025年7月23日，本次董事会以通讯方式召开，出席董事会的7名董事对所议事项进行了审议和表决。会议召开程序及出席董事人数符合有关规定，表决结果合法有效。会议形成如下决议：
同意选举宋海良先生为公司董事长，任期自董事会审议通过之日起至第五届董事会换届之日止。
同意选举宋海良先生为战略与投资及ESG委员会主席，张炳南先生为战略与投资及ESG委员会委员，任期与第五届董事会一致;同意选举宋海良先生为提名委员会主席，任期与第五届董事会一致。
同意将公司授权代表及香港联交所电子呈报系统的主要授权人士变更为宋海良先生及俞京京先生，任期与第五届董事会一致。
