智通财经APP讯，中国金属利用(01636)发布公告，该公司董事会获公司主要股东时建有限公司(时建)告知，由于股票经纪中国证券有限公司分别于2025年3月6日、7日、10日及11日根据融资安排进行强制出售，时建持有的511.2万股股份(相当于公司于本公告日期已发行股本总额约0.12%)已于市场上出售。于本公告日期，公司执行董事、主席兼行政总裁俞建秋先生拥有时建的全部股权。紧随出售事项完成后及于本公告日期，时建于公司的权益百分比已减少至公司已发行股本总额约11.77%。
根据上市规则附录十第A.3(a)(i)段，董事不得于其财务业绩刊发的任何日子及紧接年度业绩刊发日期前60日期间或(倘为较短者)自相关财政年度结束起至业绩刊发日期止期间(禁售期)买卖公司任何证券。公司截至2025年12月31日止年度的年度业绩的禁售期为2025年1月30日至2025年4月1日，因此，出售事项乃于禁售期内进行，且构成上市规则附录C3第A.3段中的不合规事件。
