智通财经APP讯，CLASSIFIED GP(08232)及要约人THAC Group (BVI) Limited联合公布，于2025年6月30日，卖方(作为卖方)与要约人(作为买方)订立买卖协议，卖方同意向要约人出售，而要约人同意收购销售股份(占本联合公布日期本公司已发行股本约65.7%)，代价将于完成时由要约人向卖方结清。完成于2025年7月21日落实。

于2025年7月21日落实完成后及于本联合公布日期，要约人及其一致行动人士持有3661.51万股股份，占本联合公布日期本公司全部已发行股本的约 65.7%。

紧随完成后及于本联合公布日期，要约人及其一致行动人士于3661.51万股股份(占本公司已发行股本总额约65.7%)中拥有权益。因此，根据收购守则规则26.1，要约人须就全部已发行股份(要约人及其一致行动人士已拥有或同意收购者除外)提出强制性无条件现金要约。要约价为每股要约股份1.318港元，要约价较2025年6月30日收市价每股1.09港元溢价约20.9%。

据悉，要约人董事为郭镇坤先生、陈焯熙先生及何嘉怡女士。要约人分别由郭镇坤先生、陈焯熙先生、何嘉怡女士、王健民先生及郭莉花女士分别直接及实益拥有53%、27%、10%、7%及3%权益。

本公司已向联交所申请自2025年7月23日上午九时正起恢复股份在联交所买卖。
