智通财经APP讯，阜丰集团(00546)发布公告，于2025年7月21日(交易时段后)，山东阜丰、阜丰营销及青岛万创(均为本公司的间接全资附属公司)与莒南智丰、临沂诚创及青岛沂景订立买卖协议，青岛沂景同意作为开发商，根据山东阜丰、阜丰营销及青岛万创的指示开发其拥有的一幅土地(即建设物业)，以换取莒南智丰及临沂诚创将其各自于青岛沂景的权益分三期分别转让予山东阜丰、阜丰营销及青岛万创。莒南智丰及临沂诚创须负责为青岛沂景提供资金(不含利息)以进行建设工程。预期合约金额为人民币3.55亿元(可按低于或高于预期合约金额3%作出调整)。因此，最高合约金额将不超过人民币3.66亿元。

青岛沂景所拥有的土地位于青岛市城阳区慕海路19号，面积约10,404平方米，为商业用地。

完成须待所有订约方满意建设工程(包括物业)后方可进行。于莒南智丰及临沂诚创将其各自于青岛沂景的54%及1%的权益向青岛万创转让后，青岛沂景将成为本公司的间接全资附属公司，其财务报表将综合并入本集团。

订立买卖协议后，物业将进一步促进本集团的扩张。另外，由于新选址邻近火车站及机场，将进一步提升本集团雇员、客户及供应商的便利性及可达性。因此，董事会(包括独立非执行董事)认为订立买卖协议对本公司及其股东整体有利。
