智通财经APP讯，佳辰控股(01937)发布公告，于2025年7月21日，章女士以名义代价向刘女士(章女士的媳妇)转让其于鑫辰中的全部权益。鑫辰持有2.31亿股股份(占已发行股份总额的23.14%)。
于股份转让后，刘女士透过鑫辰间接持有及控制2.31亿股股份。沈明晖先生与刘女士为配偶。沈明晖先生透过亿龙投资间接持有1.31亿股股份(占已发行股份的13.15%)。根据证券及期货条例，刘女士被视为于沈明晖先生持有的全部股份中拥有权益。沈明晖先生及刘女士于合共3.63亿股股份中拥有权益，占公司全部已发行股本约36.29%。
股份转让导致公司股权架构发生变动。尽管如此，沈先生、章女士、嘉辰投资、鑫辰、亿龙投资、沈明晖先生及刘女士仍为公司的主要股东。
股份转让导致沈明晖先生及刘女士持有的股份权益增加至超过30%，此将触发根据收购守则规则26.1就公司全部已发行股份提出强制性全面收购要约的责任，除非获证监会授予豁免。就此而言，公司已获沈明晖先生及刘女士告知，彼等已提出申请，而证监会已于2025年3月12日授予批准，豁免根据收购守则规则26.1注释6(a)就股份转让提出强制性全面收购要约的责任。
