智通财经APP讯，中国抗体-B(03681)发布公告，于2025年7月22日，公司与23名认购人订立23份认购协议，公司有条件同意发行而认购人有条件同意认购合共1.82亿股新股份，认购价为每股认购股份2.03港元。
认购股份合共相当于公司经发行认购股份扩大的已发行股本约13.13%(假设公司已发行股份总数于本公告日期至完成期间概无变动)。每股认购股份认购价定为2.03港元，较(i)股份于2025年7月22日在联交所所报每股收市价2.42港元折让约16.12%。
于完成后，所得款项净额合共将约为3.69亿港元，即每股认购股份净认购价约为2.03港元。公司拟将所得款项净额用于以下用途：(i)20%用于SM03的所有临床试验及新临床研发项目;(ii)30%用于目前不在集团产品线内的新候选药物的临床前研究，以使其产品组合多元化，以及用于新候选药物的IND申报准备工作，特别是用于临床前研究、生产成本及相关雇佣成本;及(iii)50%用作集团的营运资金、扩充内部能力及其他一般企业用途。认购事项的所得款项净额预期于2027年年底前动用。
