智通财经APP讯，安井食品(02648)发布公告，为完善公司产品和渠道结构，在坚持主业稳健发展的同时积极开展产业拓展和业务整合，公司已完成收购高端鳕鱼制品及冷冻烘焙企业江苏鼎味泰食品股份有限公司(简称“鼎味泰”)70%股权及鼎益丰食品(太仓)有限公司(简称“鼎益丰”)100%股权。截止本公告披露日，公司已分别使用自有资金人民币4.445亿元、人民币0.5024亿元支付完成鼎味泰及鼎益丰股权转让款，相关的工商变更登记手续亦已办理完毕。
根据《企业会计准则第20号—企业合并》等相关规定，本次股权收购事项完成后，公司将鼎味泰、鼎益丰纳入合并报表范围，预计不会对本年度公司业绩产生重大影响。纳入合并报表范围后，公司与鼎味泰主要侧重在品类及渠道互补，公司将深度整合鼎味泰在高端鳕鱼糜制品领域、关东煮细分品类的综合优势以及在冷冻烘焙赛道的产业布局;同时鼎味泰深耕沃尔玛、奥乐齐等精品商超渠道以及便利店、关东煮现制场景的合作网络，其生产组织和运营与公司传统主要面向开放式小B端的模式不同，双方可在大B定制和小B的渠道推广、运营经验上相互借鉴，对公司整体战略布局有较为积极的影响。
