智通财经APP获悉，升华兰德(08106)复牌飙升逾200%，截至发稿，涨203.03%，报0.3港元，成交额359.95万港元。

消息面上，升华兰德公布，芯云智联向浙江升华收购193,316,930股内资股，占已发行股份总数约38.16%，代价为每股内资股0.079港元，合共约1527万港元。同日，升洋与君然科技订立H股买卖协议，据此，升洋同意出售，而君然科技同意收购6502.2万股H股，于公告日期占升华兰德已发行股份总数约12.84%，代价为每股H股0.079港元，合共约514万港元。

完成后，浙江升华将不再持有升华兰德任何股份，而升洋将直接持有升华兰德已发行股份总数约10.38%。于完成后，要约人(即芯云智联及芯化和云)，将须按例以现金就所有已发行股份提出强制性无条件全面要约。内资股要约价格每股内资股人民币0.072元，相等于港币0.079元；H股要约价格每股H股0.079港元，较最后交易日于联交所所报收市价每股H股0.099港元折让约20.20%。
