智通财经APP讯，培力农本方(01498)发布公告，于2025年7月25日(交易时段后)，公司与许可人BAGI Research Limited订立专利许可协议，据此，许可人已有条件同意向公司授出许可知识产权的独家不可转让许可。考虑到授出许可知识产权，公司已有条件同意向许可人配发及发行代价股份，作为一次性不可退还的许可费用4020万港元。
于2025年7月25日，公司亦与认购人订立认购协议，据此，认购人已有条件同意认购，而公司已有条件同意按认购价每股认购股份0.43港元配发及发行4651.2万股认购股份。认购事项所得款项总额将为2000.02万港元。发行价每较股份于2025年7月24日(即紧接专利许可协议日期前的最后交易日)在联交所所报收市价每股0.455港元折让约5.5%。
