智通财经APP讯，百仕达控股(01168)公布，于2025年7月24日，公司收到可换股债券认购人Asia Pacific Promotion Limited的转换通知，内容有关行使可换股债券附带的换股权，按每股换股股份1.70港元的换股价转换本金金额为2亿港元的可换股债券。就此，约1.176亿股换股股份(相当于公司现有已发行股本约36.91%及公司经发行换股股份扩大后的已发行股本约26.96%)已于2025年7月25日配发及发行予可换股债券认购人。
董事会认为，换股将致本金金额为2亿港元的可换股债券全部注销。于2024年12月31 日，可换股债券的账面值约为2亿港元。因此，换股将减少集团的总负债并扩大公司的权益基础，从而加强集团的资产负债表并改善其净资产状况。预计这将改善集团的整体财务状况，并提高现金流管理能力。凭借更稳健的资本架构，集团将能更有效地配置财务资源，以支持未来业务发展及战略部署。
