智通财经APP获悉，7月26日，中国证监会公布境外发行上市备案补充材料要求公示(2025年7月18日—2025年7月24日)。证监会要求中鼎智能补充说明最近12个月内新增股东入股价格的合理性，该等入股价格之间存在差异的原因，并就是否存在利益输送出具明确结论性意见。据港交所5月9日披露，中鼎智能向港交所提交上市申请，国泰君安国际为其独家保荐人。
同时，证监会要求中鼎智能补充说明公司及下属公司经营范围是否涉及《外商投资准入特别管理措施(负面清单)(2024年版)》领域。说明已实施的股权激励方案合规性，包括具体人员构成及任职情况，参与人员与发行人其他股东、董事、监事、高级管理人员是否存在关联关系，以及价格公允性、协议约定情况、履行决策程序情况、规范运行情况，并就其是否合法合规、是否存在利益输送出具明确结论性意见。
招股书披露，中鼎智能是中国领先的智能场内物流和仓储自动化解决方案提供商，其核心产品为智能场内物流解决方案，通过集成智能场内物流管理软件与堆垛机、穿梭车、输送线、分拣机及机器人等场内物流设备，在广大行业垂直领域的仓库、工厂及生产线内协调货品的搬运和存放。
