智通财经APP讯，华章科技(01673)发布公告，于2025年7月28日，管理人云南恒嘉资产清算有限公司、浙江华章(公司全资附属公司)与债务人公司保山鑫盛泰纸业有限公司订立重整协议。根据重整协议，浙江华章已同意向债务人公司投资合共人民币9569.38万元，债务人公司将其用于清偿重整计划所载经管理人确认、审查及核实的债务人公司所欠其债权人的未偿债务。
于所有先决条件获达成后，管理人将展开根据重整计划将债务人公司全部股权(包括其持有的全部资产)转让予浙江华章的程序，并将于浙江华章根据重整协议全数支付投资金额后25日内完成转让。权益转让完成后，债务人公司将成为公司的全资附属公司。
公告称，通过主动参与债务人公司的破产重整程序，将现有债权转换为股权，不仅能显著提升未偿债务的回收率，更能抓紧机会实现战略行业整合与扩张。
基于上述理由，董事会认为，订立重整协议既优化了集团的资产回报，又强化了其市场竞争力，形成协同效应，推动有机增长，提高坏账回收的机会。
