智通财经APP讯，升华兰德(08106)公布，于 2025年7月 28日，根据内资股买卖协议买卖193,316,930股内资股(于本联合公告日期占升华兰德已发行股份总数约38.16%)经已完成。根据H股买卖协议，目标H股已于2025年7月29日透过联交所大宗交易机制转让，因此，H股买卖协议的完成将按照“T+2”结算安排于2025年7月31日完成。因此，于本联合公告日期，要约人及彼等一致行动人士实益拥有合共193,316,930股内资股，占升华兰德已发行股份总数约38.16%。
由于内资股买卖协议完成已落实，故根据收购守则第26.1条，要约人(即芯云智联及芯化和云(香港))须根据收购守则以现金就所有尚未由要约人及君然科技拥有或同意收购的已发行股份(包括H股及内资股)提出强制性有条件全面要约。经考虑H股买卖协议将于 2025年 7月 31日完成，要约将于 2025年7月31日成为无条件全面要约。
