Garden Stage Ltd. has announced a registered direct offering, in which the company will issue and sell 35,553,820 ordinary shares and 2,852,525 pre-funded warrants at a purchase price of $0.11 per share. The offering, which closed on July 25, 2025, raised approximately $3.7 million in net proceeds. Univest Securities, LLC acted as the sole placement agent for the offering, receiving 8.0% of the gross proceeds and $100,000 in reimbursement for legal fees and other expenses. The proceeds from this offering are intended for working capital and general corporate purposes.
