8月1日，中国神华（601088/01088）发布公告，因筹划发行股份及支付现金购买资产并募集配套资金暨关联交易事项，公司A股股票自2025年8月4日开市起开始停牌，预计停牌时间不超过10个交易日。此次交易涉及国家能源集团持有的煤炭、坑口煤电及煤制油煤制气煤化工等相关资产，预计不构成重大资产重组，也不会导致公司实际控制人变更。
本次交易的标的资产包括国家能源集团的多个子公司，如国源电力、化工公司、新疆能源、乌海能源等的股权。交易方式拟通过发行股份及支付现金购买资产，并同步募集配套资金。需要注意的是，交易仍处于筹划阶段，尚未签署正式协议，具体方案和资金募集情况将在后续公告中披露。
2025年一季度，中国神华实现收入695.85亿元，归母净利润119.49亿元。
