智通财经APP讯，华润置地(01109)公布，于2025年7月17日，公司全资附属公司上海泓喆与独立第三方上海南房就共同竞投目标公司股权及债权订立联合体协议。目标公司包括上海新霁周企业发展有限公司、上海新霁坊企业发展有限公司、上海新执里企业发展有限公司及上海新贤坊企业发展有限公司。
上海泓喆与上海南房成立的联合体成功竞投已于上海联交所公开挂牌转让的目标公司100 %股权及债权，总代价约为人民币244.7亿元，将由上海泓喆及上海南房分别按90 %及10 %比例共同支付。目标公司股权及债权将以捆绑方式收购。
上海作为中国高能级城市之一，亦是该集团的一个战略重点城市。项目公司拥有权益的耀华路项目与余庆里项目的住宅区均位于上海市核心区域，凭借其优越的区位优势，市场潜力显著。此外，余庆里项目的商业区亦坐落于中心城区核心地段，毗邻地标性建筑，具备打造兼具历史特色与独特风格的商业区的巨大潜力。
因此，收购目标公司可使集团参与上述目标项目。董事认为，收购事项符合集团的长期发展及投资战略，有助巩固及提升集团在上海的市场份额、竞争力及品牌，并持续为该集团带来投资回报及提升商业影响力。
