智通财经APP讯，亚博科技控股(08279)发布公告，有关成立合营公司亚博科技有限公司以及根据合营公司股东协议授予可认购本公司新股份的期权。
于2007年1月19日，Ladbroke Group、Maxprofit Investment Holdings Limited(乃公司间接全资附属公司)、合营公司、Ladbrokes Coral Group Limited(前称 Ladbrokes Plc)与公司订立合营协议，以成立合营公司。
合营公司(或其不时的任何附属公司)主要从事(i)管理及开发产品;(ii)向合资格客户出售及分销产品;(iii)提供产品有关的维修、售后服务、培训及咨询服务;(iv)按订约方不时以书面议定，管理、开发、销售及分销其他额外产品及提供其他额外服务。
由于营商环境及策略改变，订约方于2025年8月1日订立终止协议，同意自愿结束合营公司连同其唯一附属公司亚博泰科科技(北京)有限公司(唯一附属公司)的业务，以及正式终止合营协议。除任何先前违反合营协议的情况外，订约方同意解除彼此的合约义务及根据合营协议或其终止而产生或与合营协议或其终止有关的所有其他现存或或有的法律义务、申索及对彼此的责任。
考虑到合营公司连同唯一附属公司目前并无经营业务，董事会认为，自愿结束合营公司及唯一附属公司的业务以及终止合营协议不会对集团现有业务造成任何重大不利影响，并符合公司及其股东的整体利益。
