华润置地全资附属联合上海南房以244.7亿元收购上海耀华路及余庆里项目
8月1日，华润置地（01109）发布公告，公司的全资附属公司上海泓喆与独立第三方上海南房于2025年7月17日签订联合体协议，共同竞投目标公司的100%股权及债权，交易总价约为244.7亿元（相当于约268.9亿港元）。此次收购的资金由上海泓喆和上海南房按90%及10%的比例共同支付，目标公司的股权及债权将以捆绑方式收购。
公告中指出，联合体已于2025年8月1日与卖方签订第二、第三及第四收购事项的产权交易合同，第一收购事项的合同预计将于2025年9月或之前完成。收购完成后，上海泓喆和上海南房将分别持有目标公司90%及10%的股权及债权。
此次收购的目标公司为四家新成立的有限公司，主要业务涉及物业开发及投资，旗下拥有位于上海市核心区域的耀华路项目及余庆里项目，市场潜力显著。由于此次收购事项的某些适用百分比率超过5%且均低于25%，因此构成公司须予披露的交易，并需遵守相关上市规则的通知及公告规定，但免除股东批准的要求。
