　　中国神华（01088）午前股价上涨2.51%，现报34.34港元，成交额8.89亿港元。

　　中国神华发布公告，2025年8月1日，公司收到控股股东国家能源投资集团有限责任公司（国家能源集团公司）的《关于筹划重大事项的通知》，初步考虑拟由该公司发行A股股份及支付现金购买国家能源集团公司持有的煤炭、坑口煤电以及煤制油煤制气煤化工等相关资产并募集配套资金。

　　根据《上市公司重大资产重组管理办法》等相关法律法规的规定，本次交易构成关联交易，预计不构成重大资产重组，本次交易不会导致公司实际控制人变更。

　　因本次交易尚处于筹划阶段，存在不确定性，为保证公平信息披露，维护投资者利益，避免造成公司股价异常波动，根据上海证券交易所相关规定，经公司向上海证券交易所申请，公司A股股票（简称：中国神华，股票代码：601088）自2025年8月4日开市起开始停牌，预计停牌时间不超过10个交易日。
