智通财经APP讯，盈汇企业控股(02195)发布公告，于2025年8月6日，买方(为本公司直接全资附属公司)与卖方袁建威先生及目标公司新贵建筑订立买卖协议，买方有条件同意收购而卖方有条件同意出售目标公司的全部股权，总代价为3500万港元，将于完成时或订约方另行书面协定的任何其他日期透过本公司及买方分别向卖方或其代名人配发及发行代价股份及发行承兑票据的方式偿付。
于完成后，目标公司将成为本公司间接全资附属公司，而目标公司的财务业绩将于本公司的综合财务报表内综合入账。
本集团为香港专门从事RMAA工程的承建商，并积极寻求机会扩大其核心业务营运。收购目标公司符合本集团透过整合经营规模较小的互补业务实现增长的策略。凭藉目标公司在建筑工程行业的良好往绩及声誉，本集团预期可达致更大的营运协同效应，扩展其服务范围，并提升其整体市场竞争力。
于整合目标公司后，本集团的项目交付能力将获得提升，并能够参与竞标更广泛的项目(包括规模较大的项目)。业务扩大能够优化业务资源并促进可持续增长，预期将为股东创造更大价值。
