SMX (Security Matters) plc, a leader in "physical to digital" solutions for a circular economy, has announced the execution and first closing of a securities purchase agreement with institutional investors for a convertible note offering of up to $11.0 million. The initial closing raised $3,000,000, with subsequent closings planned to raise the remaining amount. The funds will be used for working capital, corporate purposes, and debt reduction. RBW Capital Partners LLC acted as the placement agent for the offering, with Aegis Capital Corp. as the exclusive advisor. The notes and the ordinary shares issuable upon conversion have not yet been registered under the Securities Act of 1933.
