智通财经APP讯，新锐医药(06108)公布，于2025年8月12日，公司的间接全资附属公司中国新锐、伙伴A香港新锐万马健康产业有限公司及伙伴B逸恒科技发展香港有限公司订立合作协议，内容有关(其中包括)对目标公司注资及目标公司事宜的营运及管理。

目标公司从事涉及于中国浙江省嵊州投资及兴建一个健康产业园的项目。项目包括以公开招标方式获得项目土地的土地使用权，以及在项目土地上兴建、发展及营运相关设施及建筑物。该集团对目标公司的投资将确认为按公平值计入公司损益的金融资产，其财务业绩将不会与公司的财务业绩综合入账。

于签署合作协议后，伙伴A负责目标公司的营运及管理，目标公司将承担项目的发展、营运及日常管理。

根据合作协议，目标公司的初始资本为8250万港元(或等值人民币)，伙伴A、中国新锐及伙伴B分别注资60%、20%及20%。因此，中国新锐将注资1650万港元(或等值人民币)(将以集团内部资源拨付)，而伙伴A及伙伴B将分别注资4950万港元(或等值人民币)及1650万港元(或等值人民币)。

集团管理层认为，成立承接该项目的目标公司为该集团动用可用资金作出回报、以优质资产扩大投资组合，以及拓展集团与中国市场其他持份者的战略合作机会的良机。该项目将由集团作为长期投资持有。
