Duxton Farms Says Foreign Investment Review Board Conditions Satisfied for Merger Schemes

Duxton Farms (ASX:DBF) said that the Treasurer issued a "no-objection" notification regarding the actions required to implement the merger in satisfaction of the Foreign Investment Review Board conditions for the merger schemes, according to a Wednesday Australian bourse filing.

Duxton Farms plans to acquire all the shares in Duxton Dried Fruits, Duxton Bees, Duxton Dairies (Cobram), and Duxton Orchards, which it does not already own, via separate schemes of arrangement and share purchase agreements.

The implementation of the merger remains subject to several conditions precedent, including approvals by shareholders in Duxton Dried Fruits, Duxton Bees, Duxton Dairies (Cobram), Duxton Orchards, and Duxton Farms.

The firm expects to implement the merger in October.
