智通财经APP讯，阳光油砂(02012)公布，于香港时间2025年8月19日，该公司拟向挪宝能源控股(中国)有限公司收购挪宝科技有限公司51%股权，对价总额为5091.945万港元。对价将以公司按发行价每股对价股份 0.895 港元向转让方发行及配发5698.324万股对价股份的方式支付。
据悉，目标公司拥有领先的地源热泵(GSHP)集中供暖及制冷项目运营及智能管理技术。目标公司目前持有多份收入及现金流稳定的长期能源运营及管理合约，并将继续扩大其合约组合。
收购事项完成后，预期该等技术将适用于公司于加拿大的油砂生产。目标公司拥有多份长期能源运营及管理合约，收入及现金流稳定。潜在收购完成后，公司的财务状况(包括收入及现金流量等)可大幅改善。
