歌礼制药在港交所公告，于2025年8月19日（交易时段前），本公司、补足卖方与配售代理订立配售及认购协议，据此补足卖方同意出售，而配售代理同意作为补足卖方代理，促使承配人（将为专业、机构、企业或其他投资者）购买补足卖方所持有52,400,000股股份。配售价为每股股份16.45港元，较8月18日（即最后交易日）于联交所所报的收市价每股股份18.26港元折让约9.9%。认购所得款项净额（经扣除佣金及估计开支后）预期合共约为467.69百万港元。认购事项所得款项净额中约90%建议用于其皮下注射多肽及口服多肽候选药物有关之肥胖症临床试验研发，约10%建议用作营运资金及其他一般公司用途。
