智通财经APP讯，北京能源国际(00686)发布公告，本公司拟推出资产支持专项计划，预计于2025年11月或有待决定的较后日期在上交所的固定收益证券平台发行资产支持证券，目的为投资本公司附属公司京能发展所持有的基础资产及将其证券化，以及筹集资金用于经营及发展本集团业务。为发行资产支持证券，本公司将委任项目管理人为资产支持专项计划的项目管理人。
就建议发行资产支持证券而言，京能发展作为卖方及原权益拥有人、项目管理人作为项目管理人及代表资产支持专项计划作为买方行事及相关目标公司(即信友、右玉或六安(如适用))拟订立股权转让合同A、股权转让合同B及股权转让合同C(各项合同将获股权转让补充合同进一步修订及补充)，京能发展将有条件同意透过产权交易所分别以预期不少于人民币1.37亿元、人民币3.44亿元及人民币1.63亿元的现金代价，向将由项目管理人管理的资产支持专项计划转让信友、右玉及六安的全部股权。
董事认为，建议发行资产支持证券将提高资产使用率，改善本公司资产的整体周转，增加本公司整体营运资金。此举亦有助降低财务成本及提高本公司的投资及融资实力。
