智通财经APP讯，财讯传媒(00205)发布公告，于2025年8月22日，本公司的全资附属公司Honor Fame与卖方Brother Angel And His Friends Investment Ltd订立协议，Honor Fame有条件同意收购及卖方有条件同意按代价(将由本公司以代价股份价格配发及发行代价股份结算的金额为3822万港元的代价总额)出售销售股份(相当于目标公司BFB Development Inc.100%股权权益)。代价将以买方按代价股份价格向卖方配发及发行代价股份的方式支付。
于完成后，本公司将持有目标公司100% 股权，而目标公司的财务业绩将综合并入本公司的财务业绩。
目标集团营运一个知名健康保健品牌，透过多元电商平台与多渠道网络开展业务。该品牌长期稳居各大主流电商平台健康保健产品销量排行榜首位。近年来，本集团积极拓展广告业务，特别是数字媒体营销和多渠道网络领域，董事会认为该市场近年来正快速增长。目标集团于各电商平台及多渠道网络的成熟发展，将为本集团带来协同效应，透过协作提升营运效率、扩展市场覆盖范围并推动创新。
收购事项为本集团带来宝贵机遇，不仅能扩展业务网络与客户基础、强化现有业务实力，更有助集团开拓收益来源并提升资源运用效率，且不会对集团现金流造成负面影响。
