智通财经APP讯，浙商银行(02016)发布公告，为推动该行高品质发展，夯实资本基础，降低资本成本，董事会决议根据实际经营需要，适时发行资本债券。该事项尚需提交股东大会审议及批准，并取得相关监管机构的核准。
该行在取得股东大会审议及批准，并取得相关监管机构核准的情况下，按照下列条款及条件发行资本债券：(1)发行规模：资本债券不超过人民币450亿元。(2)工具类型：资本债券，包括无固定期限资本债券，以及二级资本债券。(3)期限：(a)无固定期限资本债券：与该行持续经营存续期一致;(b)二级资本债券：不少于5年。(4)赎回选择权：自发行之日起满5年后，该行有权在获得监管机构认可的前提下，全部或部分赎回无固定期限资本债券及二级资本债券。(5)利率：参考市场利率确定。(6)损失吸收方式：当发行档约定的触发事件发生时，采用减记方式吸收损失。(7)募集资金用途：(a)无固定期限资本债券：依据适用法律法规和监管机构的批准，补充该行其他一级资本;(b)二级资本债券：依据适用法律法规和监管机构的批准，补充该行二级资本。(8)决议有效期：自股东大会批准发行本次资本债券之日起至金融监管总局批准后24个月为止。
