智通财经APP讯，中国铝业(02600)发布公告，于2025年8月27日，经公司第九届董事会第四次会议审议通过，公司拟与中国铝业集团有限公司(中铝集团)、云南铜业股份有限公司(云南铜业)、云南驰宏锌锗股份有限公司(驰宏锌锗)及中铝资本控股有限公司(中铝资本)共同出资设立合资公司。其中，公司拟以现金及实物资产出资人民币3亿元，中铝集团、云南铜业及中铝资本拟分别以现金出资人民币3.75亿元、人民币3亿元及人民币2.25亿元，驰宏锌锗拟以现金及其附属公司股权出资人民币3亿元。合资公司成立后，中铝集团、公司、云南铜业、驰宏锌锗及中铝资本将分别持有合资公司25%、20%、20%、20%及15%的股权，合资公司不会成为公司的附属公司，其财务业绩将不会合并到公司账目中。
截至本公告日期，有关各方尚未就上述设立合资公司事宜签订任何具体协议。
