格隆汇8月27日丨希教国际控股(01765.HK)发布公告，2025年8月26日，买方(即桂林普诺基电子有限公司)、卖方(即四川希望教育产业集团有限公司，为集团的全资附属公司)、目标公司与买方担保人(即桂林优利特电子集团有限公司)订立股权转让协议，据此，卖方已有条件同意转让而买方已有条件同意收购目标公司100%股权及其附属实体权益，总代价最高不超过人民币6.50亿元，而买方连同买方担保人已同意根据股权转让协议就履行义务提供不可撤回的连带担保。
目标公司(即上海普梦职川教育科技有限公司)为一家于中国注册成立的有限责任公司，并由集团持有100%股权，主要从事教育管理及教育行业投资。目标公司的附属公司主要从事民办高等学历教育。
