智通财经APP讯，北大资源(00618)公布，于2025年5月7日(联交所交易时间后)，该公司(作为劣后级有限合伙人)与苏州遨泽(作为普通合伙人)及重庆京嘉汇(作为优先有限合伙人)订立合伙协议。根据合伙协议，该公司、苏州遨泽及重庆京嘉汇同意设立合伙企业，总资本承担为人民币100,010,000元，乃由以下人士出资：(i)苏州遨泽为人民币1万元;(ii)该公司为人民币3000万元;及(iii)重庆京嘉汇为人民币7000万元。
其中，该公司的资本承担应透过向合伙企业注入出售公司(于本公告日期为公司的全资附属公司安泰国际投资集团(香港)有限公司)的全部股权的方式结清。因此，该公司订立合伙协议及公司将向合伙企业作出注资将导致视作出售公司于出售公司的股权。
公司已根据合伙协议作出出资，而出售事项已于2025年8月11日完成。
