智通财经APP讯，中国金石(01380)发布公告，独立董事委员会(由所有独立非执行董事(即Andreas Varianos先生、祖蕊女士及辜依然女士)组成，彼等于红股发行中并无直接或间接利益)已告成立，以就建议发行红股的条款是否按正常商业条款订立、是否属公平合理以及是否符合公司及股东的整体利益向独立股东提供意见，并就如何投票作出建议。
于2025年8月28日，隽汇国际金融有限公司，一间获准根据香港法例第571章证券及期货条例进行第6类(就机构融资提供意见)受规管活动之持牌法团，已获委任为独立财务顾问，以就建议发行红股的条款是否按正常商业条款订立、是否属公平合理及是否符合公司及股东的整体利益向独立董事委员会及独立股东提供意见，并就如何投票作出建议。
