智通财经APP讯，能源国际投资(00353)发布公告，于2025年8月，外商独资企业接获由自然人登记股东(即孙先生及占先生)、公司登记股东(即深圳绿合能)及营业公司联合发出的要求函件，要求函件要求外商独资企业作出规定同意以将现时以自然人登记股东名义登记的营业公司70%股权转让予公司登记股东。
经外商独资企业同意，股权转让已于2025年8月25日进行。于2025年8月25日，公司登记股东、自然人登记股东、龙广、外商独资企业、营业公司及其他相关订约方订立新结构性合约(除变更订约方以及其他相应及必要更改外，其条款及条件与现有结构性合约大致相同)，赋予外商独资企业等同于及╱或不逊于现有结构性合约的权利及权力，并完全取代现有结构性合约。
以新结构性合约取代现有结构性合约并无对集团营运或财务状况产生任何重大不利影响。紧随股权转让及订立新结构性合约后，外商独资企业将继续享有营业公司集团产生的70%经济利益，及营业公司集团的财务业绩将继续由集团采用会计权益法入账。
