智通财经APP讯，天机控股(01520)公布，于2025年8月29日，公司与投资者GEM Global Yield LLC SCS及 GYBL订立该协议，据此，投资者同意向该公司授出选择权以要求投资者根据该协议的条款及条件认购总额最多为2.25亿港元的认购股份。
根据该协议，该公司同意向投资者发行认股权证，以按每股1.97港元(可予调整)的行使价认购最多3100万股股份。认股权证于发行认股权证后十八(18)个月期间行使。
股份认购所得净额最高约1.75亿港元，悉数认购认股权证股份所得款项净额(扣除相关开支后)估计最高约为6000万港元。所得款项将使集团能获得业务发展所需的资金，从而增加公司资本基础。所得款项净额将用于发展集团的AI及Web3业务。
