智通财经APP讯，威海银行(09677)发布公告，于2025年9月1日，本行分别与山东高速集团及山东高速订立附生效条件的内资股认购协议。山东高速集团及山东高速分别有条件同意认购，且本行有条件同意发行及配发分别不超过3.24亿股内资股及不超过1.06亿股内资股，合共不超过4.3亿股内资股，认购价为每股内资股人民币3.29元，分别出资约不超过人民币10.67亿元及人民币 3.48亿元(分别相当于11.71亿港元及3.82亿港元，以董事会会议召开当日的汇率为准)。
本次发行将根据特别授权发行，同时构成变更本行内资股持有人及H股持有人于公司章程项下类别权利。根据公司章程及香港上市规则，本行将召开临时股东大会及类别股东会议就授出特别授权以进行本次发行寻求股东批准。本次发行所得募集资金在扣除相关发行费用后的净额将全部用于补充本行核心一级资本。
董事认为，山东高速认购事项有助于证明控股股东及主要股东对本行的信心，以及提高本行的资本充足率水平，确保资本充足率满足监管要求，保障各项业务稳健增长，最终切实支持实体经济发展。
