智通财经APP讯，万国黄金集团(03939)发布公告，先旧后新出售的所有先决条件已获达成，并于2025年8月25日完成。根据协议之条款及条件，合共2250万股先旧后新出售股份已按每股股份32.55港元的购买价成功配售予不少于6名承配人。

认购的所有条件已获达成且认购已于2025年9月3日完成。合共2250万股认购股份(相等于根据先旧后新出售成功配售的先旧后新出售股份数目)已由先旧后新卖方按每股认购股份32.55 港元的认购价(相等于购买价)予以认购。经扣除公司根据协议所承担先旧后新卖方产生的开支(包括法律费用及其他顾问费用)后，净认购价约为每股认购股份32.08港元。认购股份占经认购扩大后公司已发行股本的约2.03%。

公司已获减持卖方通知，于订立协议后但于减持出售完成前，减持卖方已出售合共50万股股份以满足保证金补缴要求，此举违反了该公告所载减持卖方禁售承诺。配售代理仅就保证金出售授出有条件豁免及同意，条件为减持卖方于2025年8月28日前从市场购回相同数目股份，而该条件已于2025年8月26日达成。董事会认为，保证金出售对先旧后新出售、认购及╱或减持出售并无重大不利影响。

减持出售的所有条件已获达成且减持出售已于2025年8月25日完成。减持卖方所持合共750万股减持出售股份已按每股减持出售股份32.55港元的价格成功配售予若干专业、机构及/或个人投资者。
