香港证监会暂时吊销海纳资产管理前负责人的牌照为期12个月

智通财经APP获悉，香港证监会暂时吊销现已解散的海纳资产管理有限公司(海纳资产)的前负责人员及负责多项核心职能的核心职能主管周梓霖(男)的牌照，为期12个月，由2025年9月2日起至2026年9月1日止，原因是他在管理基金时犯有缺失。

香港证监会经调查后采取上述纪律行动。调查发现，海纳资产作为某只于开曼群岛注册成立的基金的投资经理，将该基金高达100%的资产投资于由海纳资产的唯一股东、董事兼另一负责人员吴家顺(男)控制的公司所发行的债权证。如此一来，海纳资产没有避免利益冲突，且未能妥善地管理该基金的风险。海纳资产亦促使该基金投资于似乎是为了推高该基金的资产净值而设立的两份债权证。香港证监会已对吴采取纪律行动，他曾为该基金作出投资决定，并对该等缺失负有主要责任。

香港证监会发现，周没有履行他作为海纳资产负责人员及高级管理层成员的职责，即没有确保该公司以该基金和其投资者的最佳利益行事，并遵守适用的监管规定。

香港证监会在决定采取上述纪律处分时，已考虑到所有相关情况，包括：

周在解决证监会提出的关注事项方面表现合作；

与吴相比，周在海纳资产内承担的责任程度较低；

与吴不同，香港证监会并无发现周曾作出不诚实行为；

周向香港证监会举报，引发了该会的调查；及

周过往并无遭受纪律处分的纪录。
