智通财经APP讯，建发新胜(00731)发布公告，公司董事会获香港纸源有限公司(香港纸源，公司控股股东之一，间接持有公司已发行股本的70%)知会，其已向Glenfor Investment Holding Limited(Glenfor)收购NCD Investment Holding Limited(NCD)的55股股份，相当于NCD已发行股本总数的55%。
于本公告日期，NCD为公司的直接控股股东，持有公司9.90亿股普通股，相当于已发行股份的70%。于收购事项前，NCD由Glenfor(由香港纸源全资拥有)持有55%及由香港纸源直接拥有45%。于收购事项后，NCD成为香港纸源的直接全资公司。
进行收购事项及调整股权架构的主要理由是简化香港纸源的股权架构。
