EMX Royalty to be Acquired by Elemental Altus Royalties

EMX Royalty (EMX) has agreed to be acquired by Elemental Altus Royalties to create a company with an implied market capitalization of $933 million, the companies said late Thursday.

Upon the deal's completion, existing Elemental Altus shareholders and former EMX shareholders will own about 51% and 49% of the outstanding common shares of the merged entity, respectively, on a fully diluted basis.

The merged company will be renamed Elemental Royalty and remain headquartered in Vancouver, British Columbia.

Concurrently with and in support of the deal, Tether Investments has agreed to acquire about 75 million Elemental Altus shares at 1.84 Canadian dollars ($1.33) each.

The companies expect the deals to close in Q4, subject to regulatory and shareholder approvals, following which EMX shares will be delisted from the respective exchanges in Canada and the US.

EMX shares were up 6.5% in recent premarket activity Friday.
