南财智讯9月8日电，游莱互动（02022.HK）发布须予披露交易公告，其间接全资附属公司HollywoodHK与邵氏影城香港有限公司于2025年9月8日签订合营协议，共同成立注册资本为2850万港元的合营公司，主要从事游戏产品开发业务。HollywoodHK将以现金出资2280万港元，占80%股权，合营伙伴将以知识产权出资570万港元，占20%股权。合营公司将成为游莱互动的附属公司，其经营业绩、资产及负债将综合计入游莱互动的财务报表。根据上市规则，此交易需遵守相关申报及公告规定，但获豁免通函及股东批准规定。董事会认为，订立合营协议与本集团的业务目标一致，符合本集团及股东的整体利益。成立合营公司能够使各方优势互补，利用各自资源，有利于合营公司的业务发展，预期将提升本集团未来的盈利能力和潜力。
