智通财经APP讯，久融控股(02358)发布公告，于2025年9月10日，买方南京国网电瑞电力科技与卖方久融新能源科技(本公司的间接全资附属公司)订立协议，卖方有条件同意转让，而买方有条件同意收购目标标的(目标股权(江苏久融综合能源的100%股权)及其位于南京的13个电动汽车充电站)，现金代价为人民币687万元。
此外，目标公司须偿还所欠卖方的贷款本金约为人民币106万元及应计利息约为人民币1.8万元，该等偿还将由买方代表目标公司承担。
董事认为，出售事项为本集团提供了一个重新调整其电动汽车充电站组合的机会。目标标的的现有场地及条件不足以满足其营运需要及业务要求，并需额外资本投资。鉴于当前市场状况及本公司目前情况，董事相信，进一步提供资金以支持目标公司的发展将对本集团构成不必要的财务负担。因此，本公司认为进行出售事项乃审慎及负责任的举措，以保障本集团的整体利益。
